Commercial Real Estate

Commercial transactions are our specialty.

We act as counsel for many of the leading lenders in New England to represent their interests when commercial real estate is involved.

We draft attorney prepared documents for commercial real estate transactions in New Hampshire, Maine, Massachusetts and Vermont, along with reviewing bank prepared documents to ensure they are accurate and comprehensive.

We represent borrowers and sellers in commercial transactions to protect their interests and act as escrow and title agents to deliver a timely and efficient closing.

Business Acquisition

We work with lenders to document the purchase and sale of existing businesses to ensure the loan documents match the Commitment Letter and the collateral is properly secured.

We also represent borrowers by offering a strategic business approach for their intended goal, including stock and asset purchases.

Commercial & Industrial (C & I)

C & I loans provide companies with funds that can be used for working capital or to finance capital expenditures, including fixtures and equipment. We work with lenders by crafting loan documents to ensure their interests are protected, including conducting county filing searches as well as UCC searches and filing UCC Financing Statements.

Lines of Credit

We help lenders document their business lines of credit to business owners who need access to short-term funding and ensure the collateral is secured correctly.

SBA 504 & 7a, USDA and NHBFA

Attorney Roman is one of a handful of SBA 504 Designated Attorneys licensed in NH, ME, VT and MA and represents CDCs in those states.

He has closed and funded over 1000 504 loans; protecting lenders and assisting businesses with access to capital.

He also has extensive experience with the SBA 7a loan program and works with lenders to make sure they do not lose the SBA guarantee. Attorney Roman also assists lenders with documenting USDA loans, as well as NHBFA loans.

Title Searches and Title Insurance

We examine the public record to determine and confirm a property’s legal ownership.

We also issue title insurance that protects against certain losses stemming from undetected or undisclosed defects in the past chain of title.

We work with four of the largest title insurance underwriters to obtain the best result for the client.

Escrow Agents

Our firm acts as an independent third party in charge of the holding of assets, documents and money until both parties have satisfied their contractual obligations and the sale can be closed.

Business Entity Documentation

We assist borrowers in forming new business entities by registering them with the Secretary of State’s office, obtaining an Employer Identification Number (EIN) from the IRS, and preparing their governing documents, including LLC operating agreements and corporate bylaws.

Real Estate Transfer (Conveyance)

We document the conveyance of interest in real property to another owner, which includes executing a search of the public records and drafting the deed in favor of the new owner.

In addition to conveying a piece of property from a seller to a buyer, we prepare deeds for those who want to transfer their property into a trust for estate planning purposes.

Residential Real Estate

We represent residential mortgage lenders and buyers and sellers of residential real estate, including raw land, single-family homes, and condominiums.
